These gifts must be delivered, or made available for redemption via tokens, coupons, certificates, etc., to designated winners as per a-OK’s oversight.<\/span><\/p>\n 1.3.<\/b> Quality and Compliance<\/b><\/p>\n All gifts provided must be of a quality consistent with the Partner’s regular offerings and must comply with all relevant laws and regulations.<\/span><\/p>\n 2.1. \n<\/b>The Partner agrees to participate in the event organized by a-OK (the “Organizer”) to promote acts of kindness and support local businesses. The Partner will provide gifts (products or services) to be distributed to a-OK users who engage with the event through the a-OK platform (Mobile or Web application).<\/span><\/p>\n\n
\n<\/b>a-OK will manage and promote the event through its platform, social media channels, website, and other marketing channels. The Partner\u2019s involvement, including name, logo, and gift details, will be highlighted in all promotional materials.<\/span><\/p>\n
\n<\/b>a-OK will ensure that the Partner’s gifts are distributed fairly to users engaging with the event activities.<\/span><\/p>\n
\n<\/b>After the event, a-OK will provide the Partner with a report detailing the event’s outcomes, including customer engagement metrics.<\/span><\/p>\n\n
\n<\/b>The Partner grants a-OK a non-exclusive, royalty-free license to use the Partner’s name, logo, and other branding materials solely for the purpose of promoting the event.<\/span><\/p>\n\n
\n<\/b>Participation in the event is voluntary. No monetary compensation will be exchanged. The value of the gifts provided by the Partner will be recognized as in-kind sponsorship, and the Partner will receive acknowledgment as outlined in the promotion section.<\/span><\/p>\n\n
\n<\/b>The Partner agrees to indemnify and hold a-OK harmless from any claims, liabilities, damages, and expenses arising from the Partner’s participation in the event, including issues related to the quality, safety, or legality of the gifts provided.<\/span><\/p>\n
\n<\/b>a-OK will not be liable for any loss or damage to the gifts provided by the Partner, except where such loss or damage is due to a-OK’s gross negligence or willful misconduct.<\/span><\/p>\n\n
\n<\/b>Either party may terminate this agreement by providing notice within the timeframe of 48 hours after registration.<\/span> In the event of termination after the delivery deadline, the Partner is still required to provide the gifts, and a-OK will fulfill its promotional obligations.<\/span><\/p>\n\n
\n<\/b>Both parties agree to keep any confidential information disclosed during the course of this partnership private and secure, and not to disclose it to any third party without prior written consent.<\/span><\/p>\n\n
\n<\/b>These terms and conditions constitute the entire agreement between a-OK and the Partner, superseding any prior agreements or understandings.<\/span><\/p>\n
\n<\/b>This agreement may only be amended in writing, signed by both parties.<\/span><\/p>\n
\n<\/b>These terms and conditions shall be governed by and construed in accordance with the laws of Arizona, without regard to its conflict of law principles.<\/span><\/p>\n
\n<\/b>Any disputes arising under this agreement will be resolved in the courts of Arizona, USA<\/span><\/p>\n
